Terms & Conditions

1. Introduction
Welcome to Quote Castle LLC (“we,” “us,” “our”). These Terms & Conditions (“Terms”) govern your use of our services, including inbound marketing, outbound lead generation, pay-per-click (PPC) campaigns, SEO, social media, email marketing, website development, ADA & CCPA compliance, and related digital marketing services. By engaging with our services through our website, contracts, or consultations, you agree to comply with these Terms.

2. Services Overview
We provide a range of services, including:

  • Inbound and outbound lead generation (tele-sales, live transfers, chat support)
  • PPC campaigns (Google, Yelp, Amazon, and social media platforms)
  • Search engine optimization, email marketing, and social media management
  • Website development, including e-commerce and informational sites
  • Website speed optimization and compliance services for ADA and CCPA

All services, deliverables, timelines, and pricing are defined in individual proposals or Statements of Work (SOW).

3. Agreement & Modifications
Your engagement with us begins when a proposal is accepted or payment is made. Any changes to the agreed scope, pricing, timeline, or deliverables must be confirmed in writing by both parties.

4. Client Responsibilities
Clients agree to provide necessary access, content, materials, approvals, and any other cooperation required to perform the services effectively. Delays caused by client inaction may result in revised delivery timelines or additional charges.

5. Fees & Payment
Our fees are outlined in the proposal or SOW. Payments are typically due within 30 days of invoicing unless otherwise specified. PPC and advertising budgets are billed separately unless noted. Late payments may be subject to a 1.5% monthly finance charge. Services may be paused for accounts with overdue payments.

6. Intellectual Property
Clients receive a non-exclusive, non-transferable license to use deliverables created under the project. We retain the right to display non-confidential work in our portfolio unless otherwise agreed. Clients are responsible for ensuring all content provided to us does not infringe on third-party rights.

7. Confidentiality
Both parties agree to keep all confidential information private and to use it solely for purposes related to the services. Confidential information does not include publicly available or independently developed content.

8. Data Privacy
We comply with relevant data protection regulations, including GDPR, CCPA, and TCPA. Clients are responsible for ensuring they have the necessary rights and consents for any data they share with us.

9. Warranties & Disclaimers
We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. However, we do not guarantee specific results or outcomes. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

10. Limitation of Liability
Our total liability for any claim related to our services shall not exceed the total amount paid for the services under the applicable agreement. We are not liable for any indirect, incidental, or consequential damages.

11. Term & Termination
These Terms remain in effect for the duration specified in the SOW or until the services are completed. Either party may terminate the agreement with 30 days’ written notice. We may terminate the agreement immediately if payment is overdue by more than 15 days.

12. Indemnification
You agree to indemnify and hold us harmless against any claims arising from your data, materials, or any breach of these Terms. We agree to indemnify you against claims resulting from our gross negligence or willful misconduct.

13. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Wyoming. Any disputes will first be attempted to resolve through mediation. If not resolved within 60 days, the dispute shall proceed to binding arbitration in Sheridan, Wyoming.

14. Miscellaneous
We operate as an independent contractor. These Terms may not be assigned without our written consent. Neither party is liable for delays caused by events beyond their control. All notices must be sent to the contact details listed in the proposal. These Terms represent the entire agreement between the parties and supersede all prior communications.
